By accessing or using Martin ("Service"), operated by Compass Technologies LTD (company number 16573761, registered at 45 Lavender Sweep, London, SW11 1DY, United Kingdom), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Martin provides:

• ESG Report Analysis: Automated analysis of sustainability and ESG reports using AI technology
• Gap Analysis: Assessment against CSRD/ESRS and ISSB/IFRS S1-S2 frameworks
• Report Generation: PDF reports, PowerPoint presentations, and Excel gap trackers

The Service is designed to assist with ESG compliance analysis but does not constitute professional legal, financial, or regulatory advice.

3. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.

4. User Obligations

When using the Service, you agree NOT to:

• Upload malicious files or content containing malware
• Attempt to access other users' data or accounts
• Use the Service for illegal purposes or to violate any laws
• Circumvent any security measures or access restrictions
• Resell, redistribute, or commercially exploit the Service without authorization
• Upload content that infringes intellectual property rights
• Use automated systems (bots, scrapers) without permission

5. Uploaded Content

Your Content

You retain ownership of all documents you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and store it solely for providing the Service.

Content Restrictions

You represent and warrant that your uploaded content:

• Does not infringe any third-party intellectual property rights
• Does not contain illegal, harmful, or offensive material
• You have the right to share with our Service for analysis

Content Retention

Uploaded documents are retained for 30 days after analysis completion. You can delete your content at any time through your account settings.

6. Payment Terms

Pricing

The Service operates on a pay-per-report model. Current pricing is displayed at checkout. We reserve the right to change pricing with reasonable notice.

Payment Processing

Payments are processed securely by Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your payment card details.

Refund Policy

Refunds may be issued in the following circumstances:

• Technical failure preventing report delivery
• Significant errors in analysis output
• Duplicate charges

Refund requests must be submitted within 14 days of purchase. Contact support@martin.report for refund inquiries.

Taxes

Prices may be subject to VAT or other applicable taxes depending on your location. These will be calculated and displayed at checkout.

7. Intellectual Property

Our Intellectual Property

The Service, including its design, features, code, and content (excluding user-uploaded content), is owned by Martin and protected by intellectual property laws.

Generated Reports

Analysis reports generated by the Service are licensed to you for your internal business use. You may share reports with colleagues and stakeholders but may not resell or commercially distribute them.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

• Not Professional Advice: Our analysis is informational and does not constitute legal, financial, or regulatory advice. Consult qualified professionals for compliance decisions.
• Accuracy: While we strive for accuracy, AI-generated analysis may contain errors. Results should be reviewed by qualified personnel.
• Availability: We do not guarantee uninterrupted access to the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARTIN SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Regulatory fines or penalties resulting from reliance on our analysis
• Damages exceeding the amount paid for the specific report in question

10. Indemnification

You agree to indemnify and hold harmless Martin, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

11. Termination

You may terminate your account at any time through your account settings. Upon termination:

• Your access to the Service will end
• Your uploaded content will be deleted (per our data retention policy)
• Generated reports will no longer be accessible
• No refunds for unused services or partial periods

We may terminate or suspend your account immediately for violations of these Terms, with or without notice.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Martin regarding the use of the Service.
